Terms of Service

Welcome to Atis. These Terms of Service (“Terms”) are a legally binding agreement between you (“you,” “your,” or “User”) and Atis, Inc. (“Atis,” “we,” “us,” or “our”), a provider of AI-powered messaging and voice automation tools designed to help professionals and businesses streamline communication with leads and customers.

These Terms govern your access to and use of Atis’s Services, including the Atis website, web application, mobile applications, AI voice and messaging agents, automation tools, integrations, APIs, and all other related features and offerings (collectively, the “Services”).

By using or accessing the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services. If you are using the Services on behalf of a business or other legal entity, you represent and warrant that you have authority to bind that entity, and all references to "you" include that entity.

1. Definitions

For the purposes of these Terms, the following definitions apply:

  • “Account” means your registered account to access and use the Services.

  • “AI Agent” means any automated software functionality that simulates human interaction, including AI voice assistants and AI messaging bots provided by Atis.

  • “Content” means all data, text, images, audio, video, files, documents, conversations, transcripts, and other information or material uploaded, submitted, generated, transmitted, or stored using the Services.

  • “Platform” refers to the Atis-hosted software and infrastructure through which Users access the Services.

  • “User” means any person or entity who creates an Account, uses the Services, or interacts with the Atis platform.

  • “Lead” means any individual or business whose data is uploaded or managed using the Services, including prospects or customers.

  • “You” or “Your” refers to the individual or entity accessing or using the Services.

2. Changes to the Terms

We may update these Terms from time to time in our sole discretion. If we do, we’ll notify you by posting the updated Terms to our website and updating the “Last Updated” date above. If the changes are material, we may also notify you via email or in-app message.

By continuing to use the Services after the effective date of any changes, you agree to be bound by the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

If you are using the Services on behalf of a business or entity, you also represent and warrant that you are authorized to act on behalf of that entity and to bind it to these Terms.

4. Account Creation and Access

To use the Services, you must register for an Account. You agree to provide accurate, current, and complete information during the registration process and to keep your Account information up to date.

You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. If you believe your Account has been compromised, you must notify us immediately at hello@atis.ai.

We reserve the right to suspend or terminate your Account at our sole discretion, including for violations of these Terms or suspected fraudulent activity.

5. Scope of Services

Atis provides a suite of AI-powered tools to help businesses automate and optimize communication workflows. The Services include, but are not limited to:

  • AI Voice Agents: Automated assistants that answer, qualify, and route inbound calls.

  • SMS and Email Drip Campaigns: Message scheduling and automated follow-ups based on lead behavior.

  • Lead Qualification: AI-driven lead capture, scoring, and handoff to sales teams.

  • Call and Message Summaries: Automated transcription and summary of interactions.

  • Integrations: Connectivity with CRMs, calendars, lead forms, and other third-party tools.

Atis is a software platform. We do not provide financial, legal, compliance, or real estate services. Any decisions you make based on the output of the Services are solely your responsibility.

We may modify, enhance, or discontinue features from time to time. Certain Services may be subject to usage limits, rate caps, or plan-specific restrictions as described in your subscription agreement or on our website.

6. Restrictions on Use

You agree not to, and will not permit others to:

  • Use the Services in any manner that violates applicable laws, regulations, or third-party rights;

  • Transmit spam, marketing, or promotional messages without proper consent;

  • Use the Services to record calls or conversations without legally required disclosures or consent;

  • Reverse engineer, copy, resell, lease, sublicense, or otherwise exploit the Services except as permitted;

  • Interfere with or disrupt the integrity, performance, or security of the Services;

  • Use the Services to harass, defraud, or harm any person or entity;

  • Introduce malicious software or code into the Platform;

  • Misrepresent your identity, affiliations, or authorization to use the Services.

We reserve the right to monitor usage and enforce restrictions to ensure platform integrity and compliance.

7. Payment and Subscription Terms

Access to certain features of the Services may require a paid subscription. Subscription plans, pricing, and feature details are provided on our website or via direct agreement.

Billing

  • You authorize Atis to charge your payment method for all applicable fees on a recurring basis until cancellation.

  • Fees are billed in advance and are non-refundable, including for partial months or unused Services.

  • If payment cannot be processed, we may suspend or terminate your access.

Changes

  • We may adjust pricing or feature availability. Any changes will apply at the start of your next billing cycle following notice.

8. Cancellations and Termination

By You:
You may cancel your subscription at any time through your Account settings. Cancellation will be effective at the end of the current billing period.

By Atis:
We may suspend or terminate your access if you violate these Terms, fail to pay, or misuse the Services. We may also terminate for any reason with 15 days' notice. Upon termination, your access will be revoked, and we may delete any associated data.

Survival:
Sections related to payment obligations, intellectual property, data use, disclaimers, indemnity, and limitations of liability will survive any termination.

9. User Content and Data

You retain all rights to Content you submit or generate through the Services (“User Content”). By using the Services, you grant Atis a non-exclusive, royalty-free, worldwide license to use, host, store, reproduce, process, and display User Content solely to provide and improve the Services.

You represent and warrant that:

  • You have all rights to the User Content you submit;

  • The User Content does not infringe any third-party rights or violate laws;

  • You will not upload sensitive personal data (e.g., health, financial, or government ID information) unless permitted and necessary for the use case.

We do not monitor User Content but reserve the right to review or remove any content that violates these Terms or poses a risk to platform security or integrity.

10. Compliance and Legal Disclaimers

Consent and Compliance
You are solely responsible for ensuring that all communication sent via Atis complies with applicable laws, including but not limited to:

  • Telephone Consumer Protection Act (TCPA)

  • CAN-SPAM Act

  • Call recording and consent laws (federal and state)

  • Any local, national, or international laws governing data privacy and communications

Disclaimers
Atis provides the Services “as is” and “as available” with no warranties of any kind. We do not guarantee specific results, uptime, or compatibility with your tech stack. You are solely responsible for reviewing and approving AI-generated outputs before relying on them.

11. Intellectual Property

Atis owns all rights, title, and interest in and to the Services, including all related software, features, content, and trademarks, whether registered or not. This includes all improvements, enhancements, and derivative works.

Except for the limited rights granted to you under these Terms, nothing grants you ownership or license to use Atis’s intellectual property. You may not use our name, logo, or branding without prior written permission.

11. AI Acceptable Use

By using any AI features of the Services, including voice agents or messaging bots, you agree to use them responsibly and in full compliance with applicable laws.

You may not use AI features to:

  • Violate privacy, data protection, or industry regulations (e.g., GDPR, CCPA, PCI-DSS)

  • Discriminate or engage in abusive, misleading, or unlawful behavior

  • Provide professional advice (e.g., medical, legal, tax, or financial) that requires a licensed expert

  • Deceive users—if a customer interacts with an AI agent, you must clearly disclose that it's AI

  • Share offensive, misleading, or inappropriate content

  • Abuse system resources, spam, or overload our platform

  • Spread misinformation or engage in malicious activity

You are responsible for protecting any personal or sensitive data used with AI features and for ensuring your use of these tools aligns with your local laws and ethical guidelines.

We reserve the right to suspend or limit access to AI features if we believe they are being misused.

12. Limitation of Liability

To the maximum extent permitted by law, Atis and its officers, directors, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, arising out of or in connection with your use of the Services.

In no event will Atis’s total liability to you exceed the greater of:
(a) $100; or
(b) the total amount paid by you to Atis in the six months preceding the claim.

These limitations apply regardless of the form of action, whether based in contract, tort, negligence, strict liability, or otherwise—even if we’ve been advised of the possibility of such damages.

13. Indemnification

You agree to defend, indemnify, and hold harmless Atis and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with:

  • Your use or misuse of the Services;

  • Your breach of these Terms;

  • Any User Content submitted through your Account;

  • Your violation of any law or the rights of any third party.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. All disputes must be resolved in the state or federal courts located in San Francisco, CA, and you consent to personal jurisdiction in those courts.

You agree to waive any right to a jury trial or to participate in a class action.

15. Miscellaneous

  • Entire Agreement: These Terms, our Privacy Policy, and any active service agreement represent the entire agreement between you and Atis.

  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms freely.

  • Force Majeure: We are not liable for delays or failures caused by events beyond our control, including natural disasters, war, strikes, internet outages, or third-party failures.

  • Severability: If any part of these Terms is found unenforceable, the rest will remain in full effect.

  • No Waiver: Our failure to enforce any part of these Terms is not a waiver of our right to later enforce that or any other part.
